These Terms of Use & Sale (“Terms”) apply to okayuniverse.com, the Okay Universe online store, and purchases of merchandise or creative services from Okay Universe LLC (“Okay Universe,” “we,” “us,” or “our”). By using the site or placing an order, you agree to these Terms and the policies linked here. If you do not agree, do not use the site or place an order.

Who may use the site

You must be able to enter a legally binding agreement where you live. If you are under the age of majority, a parent or legal guardian must place any order for you and accept these Terms. You may use the site only for lawful, personal purposes.

Store, checkout, and order acceptance

Our storefront may display products on okayuniverse.com and send you to a secure checkout operated by Shopify. Shopify and participating payment providers process the checkout and payment information under their own terms and privacy practices. Prices are shown in the currency displayed at checkout. Shipping charges, duties, and applicable taxes are added where required.

An order is an offer to buy. An automated receipt acknowledges that we received it; it does not require us to accept or fulfill the order. We may refuse, limit, or cancel an order for suspected fraud, payment issues, inventory or production problems, pricing or listing errors, or other legitimate reasons. If we cancel after payment, we will refund the canceled amount to the original payment method.

Merchandise and made-to-order production

Most Okay Universe merchandise is printed or produced after an order is placed. Product photography, screen settings, garment-dye processes, and print methods can cause small differences in color, texture, dimensions, and artwork placement. These normal production variations are not necessarily defects. Review the product description, color, and size guide before checkout.

Availability is not guaranteed until an order is accepted. If a selected garment or variant becomes unavailable, we may contact you about a comparable replacement, delay, or refund. We will not make a material substitution without your approval.

Shipping, returns, and refunds

Production, shipping, damaged-item claims, cancellations, returns, exchanges, and refunds are governed by our Shipping & Returns Policy, which is incorporated into these Terms. Delivery dates are estimates, not guarantees. Nothing in these Terms limits a right or remedy that cannot legally be waived.

Mixing and mastering services

A service purchase covers the package and one-song scope described on the services page or at checkout. Work begins only after we receive and review the required files and confirm that the project is ready for check-in. We communicate a project schedule after that review; purchasing a service does not create a guaranteed turnaround date.

• Included deliverables and revision rounds are those listed for the purchased package.
• A revision round is one consolidated set of reasonable notes within the original scope.
• New creative direction, replacement recordings, new stems, or work outside the original scope may require a separate quote.
• Any additional charge will be disclosed and approved before the additional work begins.
• Cancellations requested before work begins may be refunded. After work begins, refunds may be reduced or unavailable to the extent permitted by law, based on work already performed.

You represent that you own or have permission to use every recording, composition, sample, stem, image, and other material you provide. You remain responsible for clearances and releases. You retain your rights in your music and final deliverables; purchasing a service does not transfer publishing, master ownership, or points to Okay Universe unless a separate signed agreement expressly says otherwise.

Accuracy and changes

We try to keep product, service, pricing, availability, and release information accurate, but errors can occur. We may correct errors and update or discontinue an offering at any time. Changes do not alter an already accepted order except where necessary to correct an error, address availability, comply with law, or with your agreement.

Site and content ownership

The site and its music, artwork, photographs, videos, writing, logos, design, and software are owned by or licensed to Okay Universe and its artists and are protected by intellectual property laws. You may view and share links for personal, noncommercial use. You may not scrape, reproduce, sell, redistribute, modify, create derivative works from, or exploit site content without written permission or another legal right to do so.

Streaming and embedded content from Spotify, Apple Music, YouTube, and other services are governed by those providers' terms.

Prohibited conduct

You may not:

• use the site or our services for unlawful, fraudulent, abusive, or infringing activity;
• interfere with site security, availability, checkout, or another person's use;
• introduce malware, attempt unauthorized access, or bypass access controls;
• submit false order, payment, identity, shipping, rights, or contact information; or
• use automated systems to extract content or place abusive orders.

Third-party services

The site links to or relies on third parties, including Shopify, payment processors, fulfillment providers, carriers, streaming platforms, and social networks. Their services are governed by their own terms. We are not responsible for third-party content or systems, but this does not limit our obligations to you as the seller of an accepted order.

Disclaimer of warranties

Except for any express product promise and rights that cannot be excluded by law, the site is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not promise that the site will always be uninterrupted, secure, or error-free.

Limitation of liability

To the fullest extent permitted by law, Okay Universe and its officers, employees, contractors, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, data, opportunity, or goodwill arising from the site or an order. Where liability cannot be excluded, our total liability for a claim will not exceed the amount you paid for the product or service giving rise to that claim. These limits do not apply where prohibited by law.

Indemnification

To the extent permitted by law, you agree to defend and indemnify Okay Universe from third-party claims, losses, and reasonable costs caused by your unlawful use of the site, your breach of these Terms, or material you submit without the necessary rights. This does not require you to indemnify us for our own unlawful conduct.

Governing law and severability

These Terms are governed by the laws of the State of California, without regard to conflict of law principles, except where the mandatory consumer law of your location applies. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue in effect.

Changes to these Terms

We may update these Terms. The date above identifies the current version. Changes apply prospectively when posted unless law requires otherwise; the Terms in effect when an order was accepted continue to govern that order.
